Position Summary:
The Office of the General Counsel at the Human Rights Campaign is responsible for managing all of the corporate legal matters for the organization, including corporate governance, legal compliance, and risk management. We interact with and support every department and program across HRC. We are seeking an experienced paralegal with outstanding research, writing, analytical, and project management skills and an ability to anticipate and respond quickly to organizational needs, to join our team. This position will be responsible for supporting the board governance program and Board Relations; conducting legal research and drafting assignments; contributing to contract and legal document creation, review, updating and management; and supporting the Corporate Counsel Fellowship program. We are looking for an individual with at least 4 years’ experience and an affinity for teamwork and diverse assignments.
Position Responsibilities:
- Provide significant support to the General Counsel/Corporate Secretary in board governance matters, including, but not limited to:
- Maintain accurate corporate governance information, including articles of incorporation, bylaws, agendas, minutes and resolutions, conflicts of interest documentation, and board and officer changes, and serve as an administrator on Board Effect to do the same.
- Record, prepare and circulate Board and Committee minutes, corporate resolutions and other documents for review and approval.
- Create Board-level presentations and documents, as assigned.
- Coordinate with the Board Relations team with the implementation of Board and Board Committee meetings, including, preparation of the physical space for board meetings; send day-of reminders to Board and Committee members prior to meetings; respond to general queries from Board members; prepare educational materials for Board orientations and other events as needed.
- Oversee corporate governance compliance, including managing corporate registrations across multiple jurisdictions in coordination with service provider.
- Conduct legal research and draft, process, negotiate, and review legal documents and correspondence
- Manage contract management system and create custom contract templates upon request. Support implementing changes to contracts and templates based on new procedures or legislation/regulations.
- Conduct policy research and draft, review, and circulate organizational and departmental policies and procedures in coordination with internal Policy Committee.
- Support enterprise risk management program, including providing risk framework expertise to internal risk management working group and supporting the General Counsel’s staffing of the Boards’ Risk, Compliance and Audit Committee.
- Collect, prepare, and review documents responsive to regulatory inquiries, business transactions, estate and planned giving transactions, litigation, and other requests.
- Manage the organization’s incident reporting platform and process.
- Facilitate the annual conflicts of interest reporting and response process in collaboration with the General Counsel and People Strategy team.
- Support the General Counsel in Union relations activities as needed.
- Oversee the Corporate Counsel Fellowship Program, which offers hands-on experience to current law students.
- Work with members of the Office of the General Counsel on special projects and initiatives.
- Supports the coordination of the Office of General Counsel with the organization’s Senior Leadership team.
- Other duties as assigned.
Position Qualifications:

At least 3 years of experience as a paralegal, legal administrator or related field.

Paralegal certificate or related degree preferred.

Proficient in Microsoft Office Suite, especially Word, PowerPoint, and Excel; experience with Monday.com, Board Effect, FreshDesk, and Outlaw a plus.
